Terms of Service
Version 2.0 — Effective April 8, 2026
These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Omelas AI LLC, a Wyoming limited liability company ("WaSecure," "we," "us," or "our"), governing your access to and use of the WaSecure application, website, and related services (collectively, the "Service").
1. Description of Service
WaSecure is a companion application for WhatsApp that provides contact relationship management (CRM), message translation, AI-powered analysis, scam protection tools, media management, data backup, and related features. WaSecure is not affiliated with, endorsed by, or sponsored by Meta Platforms, Inc. or WhatsApp LLC.
The Service operates by connecting to WhatsApp's messaging infrastructure through a third-party open-source library. This connection method is not officially supported by Meta and may be disrupted, restricted, or blocked by Meta at any time without notice.
2. Eligibility
You must be at least 18 years of age and have the legal capacity to enter into these Terms. By creating an account, you represent and warrant that you meet these requirements. You must provide accurate, complete registration information and keep it current.
3. Account Registration and Security
To use the Service, you must create an account using a valid email address, password, and your WhatsApp phone number. You are solely responsible for:
- Maintaining the confidentiality of your account credentials
- All activity that occurs under your account
- Notifying us immediately of any unauthorized access
We reserve the right to suspend or terminate accounts that violate these Terms, are inactive for extended periods, or pose a security risk.
4. Subscription Plans and Payments
4.1 Pricing
WaSecure offers the following subscription plans:
- Monthly: $14.95 per month, billed monthly
- Quarterly: $29.95 every three months, billed quarterly
Prices are in US Dollars and exclude any applicable taxes. We reserve the right to change pricing at any time; existing subscribers will be notified at least 30 days before any price increase takes effect on their next billing cycle.
4.2 Promotional and Trial Offers
From time to time, we may offer promotional pricing, trial periods, or discounted rates (e.g., $2 trial for 14 days). Promotional offers:
- Are non-refundable once payment is processed
- Automatically convert to a paid subscription at the stated rate unless cancelled before the trial period ends
- Are limited to one per person, household, or payment method
- May be revoked if we determine abuse or multiple account creation
4.3 Billing
All payments are processed through Stripe, Inc. By subscribing, you authorize us to charge your payment method on a recurring basis. You are responsible for keeping your payment information current. Failed payments may result in service suspension.
4.4 Cancellation
You may cancel your subscription at any time through the Service's billing settings or by contacting support. Upon cancellation:
- You retain access until the end of your current billing period
- No partial or prorated refunds are issued for unused time
- After a 7-day grace period, AI features are suspended
- After 37 days, your account enters data retention warning status
5. No Refund Policy
- Monthly and quarterly subscription fees
- Promotional or trial payments (including the $2 trial fee)
- AI credit top-up purchases
- Any payment made for any plan, period, or add-on
No refunds will be issued for any reason, including but not limited to:
- Loss of WhatsApp connection, whether caused by Meta, WaSecure, your device, your network, or any other factor
- WhatsApp account ban, restriction, suspension, or termination by Meta
- Changes to WhatsApp's platform, API, terms, or policies that affect the Service
- Service downtime, outages, bugs, errors, or interruptions (scheduled or unscheduled)
- Loss, corruption, or inaccessibility of data
- Dissatisfaction with features, performance, or functionality
- Failure to cancel before a billing cycle renews
- Unused subscription time remaining after cancellation
- Duplicate purchases or accidental subscriptions
- Changes in your personal circumstances
- Termination of your account for Terms of Service violations
By subscribing, you expressly acknowledge and accept this no-refund policy. If you are unsure whether the Service meets your needs, we recommend using a promotional trial offer (when available) before committing to a full subscription.
6. WhatsApp Dependency and Disclaimer
You acknowledge and agree that:
- WaSecure uses the open-source Baileys library to interface with WhatsApp. This is not an officially supported integration by Meta.
- Meta may, at its sole discretion, block, restrict, throttle, or terminate access to WhatsApp services for accounts connected through WaSecure or similar tools.
- WaSecure is not responsible for any loss of WhatsApp connectivity, including loss caused by changes to WhatsApp's infrastructure, terms of service, security measures, or enforcement actions.
- Using WaSecure may carry a risk of WhatsApp account restriction or ban by Meta. You assume this risk entirely.
- WaSecure does not guarantee continuous, uninterrupted, or error-free connectivity to WhatsApp.
- If your WhatsApp connection is lost for any reason — including reasons attributable to WaSecure — no refund, credit, or compensation will be provided.
7. AI Features, Credits, and Third-Party Services
7.1 AI Features
WaSecure offers AI-powered features including message rewriting, contact dossier generation, contradiction detection, conversation summaries, and behavioral analysis. These features consume AI credits from your monthly allocation or purchased top-up packs.
AI-generated content is provided for informational purposes only. It may contain inaccuracies, hallucinations, or errors. You should not rely solely on AI output for important decisions.
7.2 Translation
Message translation is provided through DeepL, a third-party service. Translation accuracy is not guaranteed. WaSecure is not responsible for translation errors or misunderstandings arising from translated content.
7.3 Third-Party AI Providers
AI features may be powered by third-party providers including but not limited to Together AI, OpenAI, Groq, and Mistral AI. Your use of these features is also subject to the respective provider's terms. WaSecure is not responsible for the availability, accuracy, or actions of third-party AI providers.
7.4 Credits
AI credits are allocated monthly based on your subscription tier. Unused credits do not roll over. Purchased top-up credits are non-refundable and have no cash value.
8. Scam Protection Disclaimer
WaSecure provides community-sourced scam reports, behavioral analysis, and AI-powered contradiction detection as informational tools only. These features:
- Do not guarantee the identification or prevention of scams, fraud, or deception
- May produce false positives (flagging legitimate contacts) or false negatives (missing actual threats)
- Should not be your sole basis for financial, personal, or safety decisions
- Are provided "as-is" without any warranty of accuracy or completeness
WaSecure is not liable for any financial loss, emotional harm, or other damage arising from reliance on or failure of scam protection features.
9. Data Ownership, Storage, and Loss
9.1 Your Data
You retain full ownership of your data, including messages, contacts, media, and CRM information stored in WaSecure. We do not sell your data or use it to train AI models.
9.2 Data Storage
Data is stored in per-user isolated database schemas. Storage is subject to tier-based quotas. We employ industry-standard security measures including encryption in transit (TLS) and access controls.
9.3 Data Loss
While we make commercially reasonable efforts to preserve your data, we do not guarantee against data loss. Data may be lost due to hardware failure, software bugs, security incidents, service provider issues, or other causes. You are solely responsible for maintaining your own backups. WaSecure provides data export features for this purpose.
9.4 Data Retention After Cancellation
Upon subscription cancellation, your data is retained for a limited grace period as described in Section 4.4. After the retention period expires, your data may be permanently deleted without further notice.
10. Limitation of Liability
WaSecure, its officers, directors, employees, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to damages for:
- Loss of profits, revenue, data, or business opportunities
- Loss of WhatsApp connectivity or account access
- Financial losses arising from scam protection failures
- Emotional distress or relationship damage
- Interruption of service or inability to access the Service
- Any unauthorized access to or alteration of your data
Our total aggregate liability for all claims arising from or related to your use of the Service shall not exceed the total amount you paid to WaSecure in the three (3) months immediately preceding the event giving rise to the claim.
This limitation applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if WaSecure has been advised of the possibility of such damages.
11. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, and non-infringement
- Warranties that the Service will be uninterrupted, timely, secure, or error-free
- Warranties regarding the accuracy, reliability, or completeness of any content, translations, AI output, or scam analysis
- Warranties that the Service will meet your requirements or expectations
12. Indemnification
You agree to indemnify, defend, and hold harmless WaSecure, Omelas AI LLC, and their respective officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of or inability to use the Service
- Your violation of these Terms
- Your violation of any third-party rights, including WhatsApp's terms of service
- Any content you transmit through the Service
- Any claims brought by third parties related to your use of the Service
13. Acceptable Use
You agree not to use the Service to:
- Violate any applicable law, regulation, or WhatsApp's terms of service
- Send spam, unsolicited messages, or bulk communications
- Harass, stalk, threaten, or abuse other individuals
- Distribute malware, viruses, or harmful code
- Attempt to gain unauthorized access to the Service or other users' accounts
- Reverse-engineer, decompile, or disassemble any part of the Service
- Use the Service for any unlawful, fraudulent, or deceptive purpose
- Create multiple accounts to circumvent promotional limits or bans
Violation of these rules may result in immediate account termination without refund.
14. Dispute Resolution and Arbitration
14.1 Binding Arbitration
Any dispute, claim, or controversy arising out of or relating to these Terms or the Service ("Dispute") shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules. The arbitration shall take place in Cheyenne, Wyoming, or at a location mutually agreed upon. The arbitrator's decision shall be final and binding.
14.2 Class Action Waiver
YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. You expressly waive your right to participate in a class action lawsuit or class-wide arbitration against WaSecure.
14.3 Exceptions
Either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights. Claims within small claims court jurisdiction may be filed there.
14.4 Opt-Out
You may opt out of this arbitration provision by sending written notice to [email protected] within 30 days of creating your account. If you opt out, disputes will be resolved in the courts of Laramie County, Wyoming.
15. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, United States, without regard to its conflict of law provisions. Any litigation not subject to arbitration shall be brought exclusively in the state or federal courts located in Laramie County, Wyoming.
16. Termination
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Grounds for termination include but are not limited to:
- Violation of these Terms or applicable law
- Fraudulent, abusive, or harmful behavior
- Non-payment or failed payment
- Inactivity for an extended period
- At our sole discretion for any reason
Upon termination, no refund or credit will be issued for any remaining subscription time, unused credits, or any other reason.
17. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 14 days before taking effect. Your continued use of the Service after modifications take effect constitutes acceptance of the updated Terms. If you do not agree with any changes, your sole remedy is to cancel your subscription and stop using the Service.
18. Intellectual Property
The Service, including its design, code, features, and branding, is the property of Omelas AI LLC and is protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription.
19. Severability
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, the remaining provisions shall continue in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
20. Entire Agreement
These Terms, together with the Privacy Policy, constitute the entire agreement between you and WaSecure regarding the Service. They supersede all prior agreements, understandings, and communications, whether written or oral.
